By providing any Content to ATG, you shall be deemed to have accepted the following terms and conditions in relation to such Content:
In consideration for The Ambassador Theatre Group Limited ("ATG") agreeing to publish the Content provided to it by you on any form of ATG medium at ATG's discretion (including but not limited to ATG's websites, programmes or brochures), you hereby acknowledge and agree that ATG is permitted to use the Content to promote your related entertainment production, ATG's involvement in the same, and for any other use connected thereto. You hereby agree to indemnify ATG in full against all Losses incurred by ATG as a result of or in connection with any claim brought or threatened by a third party in respect of ATG's use or possession of the Content, including (a) any claim relating to the infringement of any copyright, trade marks or any other intellectual property rights of any other person existing anywhere in the world; (b) any claim relating to the unauthorised use or possession of any information or data; (c) any claim relating to your failure to obtain any relevant consents, permissions, licences, authorisations or similar as required for the provision of the Content to, and its subsequent use by, ATG; or (d) any other claim in contract or tort or otherwise.
In respect of the above, “Content” means any form of content, including but not limited to video clips, audio, images, text and/or any other theatre related products, and "Losses" means any damages (including damage to reputation and/or goodwill), account of profit, costs, awards, royalty, compensation, third party licence fees, losses, interest, penalties, the costs of replacing the Content provided to ATG with equivalent content, legal costs and all other professional costs and expenses.
To the extent that any other contracts exist between the parties that relate to the subject matter of these terms and conditions, or if such contracts are entered into at a subsequent date (unless such subsequent contract expressly overrides the indemnities herein), any entire agreement clause contained therein shall hereby be deemed to be varied to include these terms and conditions as part of the arrangement between the parties. In all other respects, the entire agreement clauses shall remain as drafted and shall bind the parties.
